China SXT ends additional share purchase right
A corporate filing closes a narrow financing option as China SXT Pharmaceuticals confirms no further share purchases under its October offering.

China SXT Pharmaceuticals Inc. (NASDAQ: SXTC), based in Taizhou, China, announced October 21, 2026 that it has entered into a termination letter agreement with the purchasers in its registered direct offering announced October 8, 2026. The agreement, the company said, terminates the purchasers' additional purchase right contained in Section 2.4 of the securities purchase agreement that governed the offering.

Under the original securities purchase agreement, that right had entitled the purchasers to buy up to $12 million of the company's Class A ordinary shares, pre-funded warrants, or a combination of the two, exercisable within a 30-day period following the offering's closing. A right of this kind gives investors in a financing a window to increase their position on terms already fixed in the initial agreement.

With the termination letter agreement now in place, the company said the purchasers 'no longer have any right, claim or entitlement to make an additional purchase' under that section of the agreement. The release states that provision is the one affected by the termination.

The company said all other provisions of the securities purchase agreement remain in full force and effect, and that the shares and any other securities already issued to purchasers under the October 8 offering are not affected by the termination.

This announcement does not restate the gross proceeds, share count or pricing of the October 8 offering, nor does it state a reason the purchasers and the company agreed to terminate the additional purchase right.

There is no stated use of proceeds or further procedural step in this release. It is limited to confirming the termination of the Section 2.4 right and that the securities purchase agreement's other provisions continue to apply.
