Azitra to execute 1-for-10 reverse stock split

The NYSE American-listed dermatology biopharmaceutical company's shares begin trading on a split-adjusted basis October 26, 2026.

Azitra to execute 1-for-10 reverse stock split
Azitra develops precision dermatology therapies, including a treatment for a skin condition linked to certain cancer drugs, the company said.

Azitra, Inc. (NYSE American: AZTR), a clinical-stage biopharmaceutical company developing therapies for precision dermatology, said its board of directors has approved a 1-for-10 reverse stock split of its common stock. The split takes effect at 12:01 a.m. Eastern time on October 26, 2026, and the company's shares will begin trading on a split-adjusted basis under a new CUSIP number, 05479L401, when the market opens that day.

A reverse stock split combines multiple existing shares into a single new share, reducing the number outstanding without changing a holder's proportional ownership, apart from the effect of any fractional-share cash-out. Azitra's stockholders authorized the board, at the company's June 15, 2026 annual meeting, to select a ratio between 1-for-2 and 1-for-30; the board approved the final ratio of 1-for-10, together with the October 26 effective date, on October 14, 2026. The change will reduce outstanding shares from 60,603,742 to approximately 6,060,374.

Azitra said stockholders holding shares through a brokerage account will have their holdings automatically adjusted to reflect the new ratio. Those entitled to a fractional share will instead receive cash, without interest, calculated from the average closing price of Azitra's common stock over the five trading days immediately preceding the effective date. The stock will continue to trade on NYSE American under the symbol AZTR, now under a new CUSIP, 05479L401, with Continental Stock Transfer & Trust Co. as transfer agent.

Azitra describes itself as a clinical-stage biopharmaceutical company developing therapies for precision dermatology. Its disclosed pipeline includes ATR-COSF, a recombinant protein candidate, and ATR-04, an investigational live biotherapeutic for EGFR inhibitor-associated rash, which the company said has received Fast Track designation from the U.S. Food and Drug Administration.

The release describes only the mechanics of the reverse split — the ratio, the effective date, the resulting share count and the fractional-share treatment. It does not state a business rationale for the chosen ratio or the timing of the change.
