Goldgroup completes C$101 million strategic investment in Luca Mining
Goldgroup Mining's new stake in Luca Mining is tied to Luca's pending acquisition of the Cozamin Mine.

Goldgroup Mining Inc. (TSXV: GORO) (NYSE American: GORO) said it completed a C$101,123,662 strategic investment in Luca Mining Corp. on October 14, 2026, acquiring 101,123,662 subscription receipts at a price of C$1.00 per receipt. The receipts were issued as part of a bought-deal private placement that Luca is conducting in connection with its proposed acquisition of the Cozamin Mine, which the release refers to as the "Cozamin Acquisition" without further describing its terms.

A subscription receipt is a security that converts into a common share once specified conditions are met, rather than granting share ownership immediately. Here, the receipts convert into Luca common shares once release conditions are satisfied, which the release says include completion of the Cozamin Acquisition. Goldgroup said it may elect to convert its receipts early, provided doing so would not take its holding above 19.9% of Luca's outstanding shares without further approval.

Following conversion, Goldgroup said it will hold 101,123,662 Luca common shares, representing approximately 19.9% of Luca's outstanding shares on a non-diluted basis. The release does not state Luca's total share count on a diluted basis, nor does it give the total size of the bought-deal offering of which Goldgroup's receipts were a part.

Goldgroup also secured an investor rights agreement with Luca. While Goldgroup holds at least 10% of Luca's shares, the agreement gives it the right to participate in future equity financings and top up its holding in relation to dilutive issuances, and the right to nominate two persons to Luca's board of directors.

The release states that Goldgroup "intends to assess opportunities relating to its investment in Luca" and that, depending on its strategic priorities, market conditions and its evaluation of Luca's business, it may acquire additional securities, exercise its board nomination rights, or dispose of some or all of its position.

The release does not name Luca's stock ticker or exchange, does not name any underwriter or agent for Luca's offering, and does not describe the terms of the Cozamin Mine acquisition — the price, the seller, or Luca's other obligations — beyond referring to it as a pending acquisition that conversion of the receipts is conditioned on.

Goldgroup's contacts for the release are listed as Javier Reyes, chief executive officer, and Sophia Shane, in corporate development.

To verify independently

  • Goldgroup's expected resulting stake of approximately 19.9% of Luca is the company's own stated figure, pending completion of the Cozamin Mine acquisition and conversion of the subscription receipts.
  • The characterization of the transaction as a 'strategic investment' is Goldgroup's own description.
