Emergent Metals restates Q2 financials, updates Lahontan deal
Emergent Metals' proposed combination with Lahontan Gold awaits a shareholder vote scheduled for December, the company said.

Emergent Metals Corp. (TSXV: EMR, OTCQB: EGMCF, FRA: EML) has filed amended and restated unaudited condensed interim consolidated financial statements for the three and six months ended June 30, 2026, replacing the statements and management's discussion and analysis it originally filed on August 28, 2026. The company said the amended filings "correct certain accounting and disclosure matters identified following the filing of the Original Filings," without specifying what those matters were.

The restatement reduced share capital and accumulated other comprehensive loss by US$231,040. It increased comprehensive loss by US$263,894 for the three months ended June 30, 2026, and by US$297,428 for the six months ended June 30, 2026. Emergent said the corrections had no effect on the company's assets, liabilities, net loss, total equity or cash balance.

Separately, Emergent provided an update on its proposed acquisition by Lahontan Gold Corp. under an arrangement agreement dated September 15, 2026. Under a plan of arrangement, a court-supervised process used in Canada to combine companies, Lahontan would acquire all of Emergent's issued and outstanding common shares in exchange for 0.3115 of a Lahontan share for each Emergent share held — equivalent to about one Lahontan share for every 3.21 Emergent shares.

The TSX Venture Exchange has given conditional acceptance to the transaction. Emergent said its shareholders are scheduled to vote on the arrangement at a meeting set for December 4, 2026, and that completion remains subject to shareholder approval, court approval, final TSXV acceptance and other required approvals. The release pointed to further transaction details in Emergent's September 16, 2026 news release and to the arrangement agreement itself, filed on SEDAR+.

The company also reminded holders of common share purchase warrants issued in private placements completed on November 14 and 19, 2024 that those warrants are scheduled to expire on November 14 and 19, 2026, respectively, at an exercise price of C$0.10. The release described the warrants as non-transferable and said no extension is currently intended.

The release does not state a termination fee, identify a special committee, or say whether the transaction was negotiated at arm's length. It noted that the arrangement agreement and plan of arrangement are available under Emergent's and Lahontan's respective profiles on SEDAR+.

To verify independently

  • The specific nature of the 'accounting and disclosure matters' corrected in the restatement is not described beyond the company's own characterization.
  • Whether the Lahontan transaction completes as described depends on shareholder, court and exchange approvals that remain outstanding.
