Robo.ai shareholders to vote on 1-for-25 reverse split
Robo.ai's board has called an October 26 vote on consolidating its Nasdaq-listed shares twenty-five to one.

Robo.ai Inc. (Nasdaq: AIIO), a UAE-based, U.S.-listed company, has called an extraordinary general meeting of shareholders for October 26, 2026, to approve a 1-for-25 reverse stock split of all classes of its ordinary shares. The meeting is scheduled for 8:30 a.m. ET (4:30 p.m. Dubai time) at the Meydan Grandstand, sixth floor, in Dubai, with a record date of October 14, 2026.

If shareholders approve it, the split will take effect November 6, 2026, at 9:30 a.m. ET, consolidating every 25 existing shares into one. The company's 13,817,501 Class A ordinary shares would become 552,701 Class A shares, and its 222,116,290 Class B ordinary shares would become 8,884,684 Class B shares. The post-split shares will trade under a new CUSIP, G6693P130, the company said.

A reverse stock split reduces the number of shares outstanding by combining multiple shares into one, without changing a shareholder's proportional stake in the company other than for fractional adjustments. Robo.ai said no fractional shares will be issued under the proposed 1-for-25 split: a shareholder otherwise entitled to a fraction of a share will instead receive a full share.

Robo.ai said it expects the Class B trading price to increase proportionately once the split takes effect, though it gave no assurance the post-split price would reach twenty-five times its level beforehand; the post-split shares will trade under a new CUSIP, G6693P130. The October 26 meeting will also consider increasing authorized share capital by up to 25 million new Class A ordinary shares and 280 million new Class B ordinary shares, and adopting a seventh amended and restated memorandum and articles of association.

Robo.ai is headquartered in Dubai and lists its Class B ordinary shares on Nasdaq under the ticker AIIO. The release sets out the mechanics of the proposed split and the meeting but does not state a reason for the consolidation; completion depends on shareholder approval, and if approved, the company said the split becomes effective November 6, 2026.
